Stonybrook Advises Federated Mutual on Their Acquisition of High Definition Vehicle Insurance

NEW YORK, NY – Stonybrook Capital & Risk Management (“Stonybrook”) is pleased to announce that Federated Mutual Insurance Company (“Federated”), a leading Minnesota-based commercial lines mutual insurer, has entered into a definitive agreement to acquire High Definition Vehicle Insurance, Inc. (“HDVI”). HDVI is a technology-driven managing general agency focused on commercial trucking and fleet insurance. Following the transaction, HDVI will join the Federated family of companies while continuing to operate as a distinct entity. Its telematics capabilities and data-based underwriting platform will expand Federated’s presence in commercial auto insurance.

Federated is rated “A+” by AM Best, is a Fortune 750 company and has ~$16 billion of assets and ~$7 billion of capital and surplus.

Stonybrook served as Federated’s exclusive buy-side financial advisor in connection with the transaction, building on a 14-year trading relationship spanning more than a half dozen different completed transactions, including various surplus note investments and Federated’s most recent acquisition, Granite Re, Inc. Stonybrook is Federated’s exclusive valuation consultant on various assets in the context of its annual audit, and Federated has invested in IA Capital’s three most recent InsurTech funds, for which Stonybrook served as the exclusive placement agent. The engagement also reflects Stonybrook’s continued growth, including the addition of Matt Mosher, former Global CEO of AM Best, and Peter McGuire, an ambassador to the United Nations, to its board of directors and as equity investors.
